It is imperative that both parties understand all terms and details, regardless of the job’s size. To do this, a contract must be drafted and executed with specificity.

1. Purpose. The Landscaper agrees to render landscaping services for the Client, including: ________________________________________________________________________________________________________________________________________________________
2. Term. This Contract will begin upon _____________________, and will last until _____________________.
3. Schedule. It is the Landscaper’s obligation to complete the work between the hours of__________________, no less than_ _______________ times per ________________, and at least one time per week. Both the Landscaper and the Client must agree on all working times. Landscapers and clients can change the schedule if they confirm the change in writing.
4. Location. 5. Client’s Responsibilities. Within a specified time frame, the Client agrees they must provide full access to the property and inform the Landscaper of all underground services and utility lines.

7. Terms of Agreement. From the date of this contract until the end of the event, this contract is in full force and effect.
8. Compensation. Landscapers will be paid $______________ on the first day of each month for regular services performed for the remainder of the month. The landscaper and client must negotiate the additional services needed on a case-by-case basis, and every transaction must be documented in writing. Such invoices are due within ___ days of the completion of the work.
9. Modifications. This Contract may only be changed or modified by both parties in writing.
10. Termination. Either party may terminate this Contract at any time by providing written notice of termination at least two weeks before the stated termination date to the other.
11. Relationship of the Parties. Landscapers are independent contractors. Each party is not an agent, representative, partner, or employee of the other Party. This Contract does not guarantee exclusivity between the Parties. There is no restriction on the parties entering into other agreements of a similar nature with other entities. It is understood that the Landscaper will not enter into agreements that would conflict with the terms of this contract.
12. Limitation of Liability. By entering into this Contract, the parties agree to indemnify and hold the other party harmless from and against any claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees, and costs resulting from the negligence or breach of this Contract by the indemnifying party, as a result of this Contract. If either party terminates the Contract early or by natural termination, this section remains in full force and effect.
13. Legal Fees. In the event of a dispute that results in legal action, the winning party will be entitled to its attorneys’ fees, collection fees, and the like.
14. Severability. All other provisions of this Contract should continue in full force and effect as valid and enforceable, even if a provision of this Contract is deemed invalid or unenforceable, in whole or in part.
15. Legal and Binding Contract. As stated above, the Contract is legally binding between the Parties. Each Party represents that it has the authority to enter into this contract.
16. Governing Law and Jurisdiction. In this Contract, the Parties agree that _______________________ (state) law shall apply.
17. Entire Agreement. Both Parties acknowledge and agree that this Contract represents their entire agreement. Any changes, additions, or modifications to any of the terms must be done in writing and signed by both parties.
